In 2003, the Utah Supreme Court created the Utah Standards of Professionalism and Civility in an effort to improve the practice of law in the state of Utah. This one-hour presentation will focus specifically on the standards and correlating ethics rules that are most often encountered by in-house attorneys including how to avoid and respond to conduct that “crosses the line.”

9:40-10:40 Employment Law Challenges of a Remote Workplace

In a post-pandemic world, more and more employers are providing remote work as an option for employees to recruit and retain them. This presentation will help you to proactively consider the employment law challenges associated with a remote workplace. We’ll discuss how to address employees who’d like to work out of state, enhanced risks of employee moonlighting, security issues, and who pays for the equipment needed for telework. We also will discuss the circumstances when an employer might have to provide remote work even onsite work is preferred.

12:00-1:00 Cross-Border M&A Transactions – Risks and Best Practices

In this presentation we will discuss cross-border transactions, with a focus on cross-border mergers and acquisitions. We will analyze each phase of such transactions and specific practical and legal considerations, from the complications of international deals, to the main differences between common law and civil law jurisdictions, to the structuring of the transaction, due diligence, compliance and regulatory considerations, negotiation techniques, up to and including the closing. We will identify some of the key risks involved in conducting this type of transactions and discuss best practices.
