From the Bylaws to the Ballot Box: Preparing for Shareholder Activism and Related Litigation in the 2021 Proxy Season – CLE presented by Vinson & Elkins

Please join our panel from Vinson & Elkins and Protagonist Therapeutics for a discussion about preparing, during peacetime, to navigate the rising tide of shareholder activism.  Panelists will discuss how to proactively prepare for a shareholder activism campaign before one erupts, including the importance of enhanced governance practices and of maintaining proper procedures and controls to better position your company to help fend off activist attacks and manage activism-related litigation that often arises.
Speakers:
Lawrence Elbaum, Co-Head Shareholder Activism Practice, Vinson & Elkins
Michael Charlson, Co-Chair Shareholder Litigation & Enforcement Practice, Vinson & Elkins
Matthew Gosling, Executive Vice President, General Counsel at Protagonist Therapeutics

What Everyone In-House Should Know about Open-Source Strategy – CLE presented by Crowell & Moring
Open source software (OSS) is ubiquitous in software development today, allowing for technical innovation and increased productivity. OSS touches essentially everything from big data and cloud to mobile and embedded. Its use is favorable because it decreases time to market, reduces costs and can drive the scaling of technology products. But, effectively using OSS to drive business models requires an understanding of the risks and benefits, and how OSS interacts with other legal strategies.

In this session we will cover:
OSS Basics – Should you use it? What are the license concerns and implications?

          Business models enabled by OSS

Choosing license terms to suit business goals

Balancing legal toolsets to maximize the value of OSS (OSS + closed source, patent strategy, branding/standards, access restrictions, etc.)
Speakers:
Gabe Ramsey,  Partner, Crowell & Moring
Indira Bhatt, Open Source Consultant
Rudy Guyon, Lead Enterprise Products Counsel, McAfee
Michel Narganes, Partner, Crowell & Moring
