Directors and officers are charged with acting in the company’s best interest. But even those trying to do just that are still exposed to potential liability - civil and criminal - under a variety of statutory and common-law schemes. When these regulatory regimes impose specific obligations on these key decision-makers, “official capacity” is often no defense. And in states like North Carolina, directors and officers can be personally liable for their own torts - even when acting on behalf of the company.

Our experienced panel will help you keep your executives out of trouble. And trouble is constantly knocking at the door, in the form of the Yates Memo, securities regulations, privacy rules, unfair competition claims, corporate governance requirements, fiduciary obligations, international “know your client” banking laws, labor and employment statutes, and other individual tort liability. Composed of in-house counsel and practitioners who regularly represent directors and officers in civil and criminal actions, the panel will give you the tools you need to spot issues of potential individual D&O liability ahead of time, and steer clear of them.

Allyson Labban

WakeMed In-House Counsel

Allyson Jones Labban is Associate General Counsel at WakeMed Health & Hospitals, an 870-bed healthcare system with more than 8,000 employees and multiple hospitals, stand-alone EDs, and other healthcare facilities in Wake County, North Carolina.  At WakeMed, she works closely with the Corporate Integrity and Compliance Department and provides regulatory compliance guidance on topics ranging from HIPAA and data privacy and security, Medicare and Medicaid billing and claims filing requirements, and Certificate of Need and licensure issues, as well as advice regarding risk management and clinical-legal issues. 

Before joining WakeMed’s in-house department in June 2018, Allyson was a partner at Smith Moore Leatherwood LLP in Greensboro.  Her practice focused on HIPAA and regulatory compliance, including assisting hospitals and other clients with federal fraud and abuse investigations, ZPIC and other audits, OCR investigations, licensure and survey concerns, and bioethical and risk management assessments.
