Fiduciary Duties of Directors through the Life Cycle of a Private Company From Inception Through Insolvency – Delaware Law.  Fiduciary duties of directors are often taken for granted when the going is good.  However, when circumstances start to change and companies are forced to pivot, directors need to understand when and how their duties may change.  We’ll start with a brief Delaware law refresher of what those duties are, when they are implicated and how are they discharged.  COVID-19 has created a new form of distress and we’ll explore how that financial distress and the new environment may affect a director’s duties even beyond the standard response.
