Please join us for our first Delaware CLE event of the year!  Among the topics to be addressed will be shareholder activism, legal and financial implications of 220 demands, and appraisal actions.

    For a variety of reasons, the Delaware Court of Chancery is seeing an uptick in lawsuits by stockholders seeking access to corporate books and records under Section 220 of the Delaware General Corporation Law (DGCL) and its alternative entity counterparts.  Our panel will offer an overview of stockholder inspection rights and of the forces driving this increase.  It will also examine considerations an enterprise should weigh in responding to an inspection demand, what can be done to limit disruption to the business and litigation risk, and the utility of conditions the Court has placed on inspections.  Additionally, our panelists will discuss the continuing issues and recent trends related to stockholders seeking appraisal rights in M&A situations.

  • 10:15 a.m. to 11:15 a.m. — Citrin Cooperman Hot Topics
    Delaware law regarding Books and Records Inspections and Appraisal actions has significantly changed over the past year.  In house counsel should be familiar not only with those changes, but also with the associated financial implications.  This program focuses on those financial implications by exploring recent case law examples.  It also highlights the impact of the changes on in house counsel interactions with business colleagues.
