Overview (Program Summary)

The last few years, the mergers and acquisitions market has been white hot, featuring competitive bidding processes, high valuations, fast-track closings and seller-friendly risk allocations.  This program will walk participants through the key components of the M&A process, and highlight at each stage important considerations and deal points for buyers and sellers.   Topics covered will include:  

  • An overview of the current M&A environment and future expectations  
  • Targets: Laying the ground work for a successful acquisition years in advance (e.g., corporate structure, commercial contract terms, management equity incentives)
  • Engaging an investment banker, running a process and the importance of the letter of intent
  • Deal structure and tax considerations
  • Key M&A transaction documents and terms (e.g., form of consideration, allocation of risk, non-competes and closing conditions)
