ACC National Capital RegionEstablishing the right team to bid on a government contract can be crucial to winning an award. Teaming Agreements set the tone and parameters for the parties' future relationship – a clearly written teaming agreement fosters a smooth and dispute-free proposal process and contract performance.
Disputes over the terms and scope of Teaming Agreements are common, often acrimonious, and can lead to broken commercial partnerships. This presentation will examine best practices at each stage of the Teaming relationship in order to strengthen partnerships and avoid litigation. Learn how to: • Identify important distinctions between Teaming Agreements, agreements-to-agree, and enforceable subcontracts. • Identify key provisions to include in the Teaming Agreement regarding, e.g., future subcontracts, flow-down clauses, termination rights, limitation of liability, dispute procedures, and choice of law/forum. • Examine the leverage and bargaining power of teaming partners, what to ask for, and when to ask for it. • Effectively use exclusivity to your advantage as the prospective prime or sub, while being mindful of agency restrictions on exclusivity. • Understand how different states have ruled on Teaming Agreement enforceability, and how to draft terms that may avoid common issues.
