In-House Litigation and Contracts Senior Counsel - Temp to Perm

Ethics and Compliance and Privacy Counsel or Ethics and Compliance Director, Carrollton, GA (ability to work remote frequently)

Southwire is looking to add an in-house attorney to its team responsible for E&C, Privacy and Cybersecurity, Corporate Governance, and Entity Management. Experienced, non-attorney Ethics and Compliance professionals also will be considered. This individual will apply their expertise to fulfill the E&C program’s mission to prevent and detect misconduct and to drive a culture of ethics at Southwire. They will be responsible for overseeing the daily administration of the E&C program, leading projects that will continue to enhance the Ethics & Compliance program, communicating with partners at Southwire’s domestic and international locations at all levels of the organization, developing and interpreting policies and trainings, overseeing investigations, and promoting Southwire’s “Doing Right” culture.

Description Of Duties And Responsibilities May Include

  • Manaement of Southwire’s Ethics & Compliance program, which includes its Code of Business Conduct; learning, communications, and engagement strategy and implementation; policy management and development; cross-functional collaboration and coordination with other compliance leaders; and risk and program assessments.
  • Management of ethics helpline, case management system and process, and investigations, including conducting/assisting with internal investigations, implementing process enhancements, and preparing reporting for Board of Directors.
  • Leading projects designed to continue to enhance Southwire’s E&C program.
  • Supporting privacy and cybersecurity related and corporate governance related initiatives.

 Qualifications And Experience Required
The ideal candidate will have these qualifications and experience:

  • Has a law degree and has practiced for a minimum of four (4) years or, in the case of a non-attorney, has a minimum of seven (7) years working in corporate compliance, ethics, legal, governance, risk and controls, privacy/cybersecurity, or auditing.
  • Has the highest standards of ethics and integrity and is able to maintain confidentiality of information at all times.
  • Has deep and broad ethics and compliance subject matter expertise, is well-versed in ethics and compliance program management and standard methodologies and has strong project management and execution skills.
  • Has experience supporting corporate privacy/cybersecurity programs.
  • Has ability to acquire and demonstrate fluency in the Southwire’s businesses and strategy (experience in the manufacturing industry is not necessary but is a plus).
  • Takes their work seriously but has a good sense of humor.
  • Has the ability to travel ~10% of time, primarily within U.S.

Corporate Counsel, Atlanta or Nashville

Legility seeks an accomplished Corporate Counsel with significant experience in drafting and negotiating a wide variety of sophisticated contracts - including customer contracts, vendor contracts, SaaS service agreements, and complex MSAs and Statements of Work. Qualified candidates will support a corporate client and have demonstrated experience on a wide variety of commercial agreements, preferably in the professional services and technology industries. Candidates must have sound business and legal judgment, experience managing a high volume of contracts and the ability to work in a dynamic and fast-paced business environment. The ideal candidate will be flexible, creative, and open to learning about a variety of issues that touch on eBusiness, digital, privacy, and marketing. This role will require the ability to help the business translate legal and compliance issues into real world applications with a practical outlook.
