Announced During Association of Corporate Counsel’s 23rd Annual Meeting in Chicago

Posted: Nov 7, 2007

(Washington, D.C.) - The Association of Corporate Counsel (“ACC” or “the Association”) presented its 2007 “Excellence in Corporate Practice” award to Michael Fricklas, Executive Vice President, General Counsel and Secretary for Viacom Inc during its Annual Meeting in Chicago this past week. The award, which recognizes Fricklas for “his achievements in service to the legal profession and improvement of the legal system,” is a testament to his commitment to public service and civic and community contributions, the Association said.

“Michael is truly deserving of this award,” said ACC President, Frederick J. Krebs. “He leads by example and has spearheaded initiatives to develop strong processes for legal support for financial compliance and internal controls. His dedication to the legal profession is demonstrated not only through his leadership and guidance at Viacom, but also his participation in the Association and involvement with his community.”

Established in 1996, the Excellence in Corporate Practice award recognizes achievements in legal advocacy and counseling, service to the legal profession, public service, civic and community contributions, and business and legal contributions to the success of the awardee’s in-house client.

As General Counsel since 1998, Fricklas oversees a global legal department of more than 200 in-house attorneys and is responsible for Viacom's legal affairs and management of its law department. Fricklas ensures that his lawyers are well-trained and informed in all aspects of the company so they can deliver quick and helpful advice. His involvement and enthusiasm is directly linked to the strength of his legal department and his contributions have had a direct impact on his attorneys. Viacom’s law department is also responsible for a novel in-house ‘Corporate College,’ an accredited CLE training program that offers Viacom’s lawyers customized courses.

"Mike Fricklas is an innovative and thoughtful lawyer and has capably led Viacom's legal department for nearly a decade," said Philippe Dauman, President and CEO of Viacom. "As friend and advisor for more than 20 years, I know Mike has also been an exceptional and effective advocate for the issues that are important to the media industry. Mike exemplifies the high ideals that this award seeks to recognize, not only as a lawyer and a manager, but also as a person. I join the entire Viacom family in congratulating him on his achievement."

A former mergers-and-acquisitions lawyer, Fricklas played key roles in the 2006 separation of Viacom into a new Viacom and CBS Corporation, the 2005 split-off of Blockbuster, the Viacom/CBS merger in 2000, and numerous other transactions and a wide variety of other matters.

Past ACC “Excellence in Corporate Practice” winners include Stacey Mobley, DuPont (2006); Gloria Santona, McDonald’s Corporation (2005); Kenneth C. Frazier, Merck & Co. (2004); Roderick A. Palmore, Sara Lee Corporation (2003); and Benjamin W. Heineman, Jr., General Electric Company (2002).
