2008 CLO Survey

Association of Corporate Counsel (ACC ) invited Chief Legal Officers (CLO) and General Counsel (GC) to participate in the 9th Annual Chief Legal Officer Survey.  The information contained in this Executive Summary and the Key Findings, along with the survey’s full report, can prove useful to corporate legal departments, auditors, law firms, and industry partners such as recruiters and litigation support providers. This year’s survey addressed a number of issues including staffing, departmental organization, hiring plans, cost accounting, expectations for the coming year, changes to the role of the CLO, outside auditors and counsel, and firm demographics.  Additionally, the survey focused on focused on the relationship of the CLOs and GCs with outside counsel through questions that explored alternative fee arrangements and challenges brought with the economic downturn.

Pay Attention to Environmental Issues in Emerging Markets

The United States is not alone in developing new environmental laws and regulations.  For instance, China has been diligently working over recent years to develop, implement, and enforce an environmental law framework.  The United States Environmental Protection Agency even launched a China Environmental Law Initiative in 2007 to encourage a continuing dialogue between the countries.

Cybersquatting Cease and Desist Letter

A sample cybersquatting cease and desist letter.  User registered and is continuing to use domain names in bad faith that are confusingly similar to company's federally registered service mark.  Company demands that user immediately ceases and desists all use of the company's service marks, agrees in writing that it will not engage in further use of company's service marks, will immediately transfer the domain names to company, and will cease and desist all use of company's copyrighted materials.

Management Rights Clause

Provides a management rights clause to indicate the type of rights which belong to and are inherent to management.  Any rights, power, or authority the employer had before signing this agreement are retained, except those specifically abridged, granted, deleted, or modified by this agreement.
