This presentation will review certain items to be included on your governance committee agenda in light of the new 2010 proxy disclosure requirements related to Board leadership structure and risk oversight, board qualifications and diversity. It will review actions to be taken at one or more meetings of the Governance Committee prior to your annual meeting of shareholders, including guidance on process considerations and potential changes to your governance committee charter and governance guidelines.

ACC's Corporate & Securities Law Committee Sends Comments to SEC Re: Proposed Rule of "Facilitating Shareholder Director Nominations"

CSL filed a comment letter opposing portions of the Securities & Exchange Commission's recently proposed rules regarding shareholder proxy access. In relevant part, the proposed rules would affect the manner in which shareholders may nominate directors to the boards of publicly-held companies.
