The San Francisco Bay Area Chapter Corporate and Securities Committee is focused on issues affecting in house counsel in the areas of corporate and securities law. The Committee’s goals are to facilitate information and resource sharing among its members and to offer continuing legal educational programs of interest to in-house corporate and securities practitioners. The Committee hosts quarterly CLE programs on a broad range of topics relating to corporate governance; securities registration, offerings and compliance; mergers and acquisitions; disclosure and securities reporting matters; SEC enforcement actions affecting in-house counsel; as well as topical matters of the day affecting in-house corporate and securities practitioners.

6/17/08 - "The M&A Process: Best Practices for the Corporate Counsel"

Probably no corporate event raises more issues and requires more organization and coordination among different company functions, than an acquisition or divestiture. The in-house counsel is often the fulcrum for the deal, coordinating among the sponsoring business unit, finance, tax, IP, HR, business development, legal/compliance, and outside counsel. The presenters will discuss key diligence areas to focus on, resolving commonly encountered issues, how to keep the entire organization aligned around objectives, and where and how to most effectively deploy resources.

4/24/07 & 6/6/07 - “Today’s Silicon Valley IPO - Perspective From the General Counsel”

An increasingly rare but singularly attractive aspect of a private company's development is an initial public offering that provides access to capital, creates a public currency for acquisitions, and permits liquidity for investors and employees. IPO practices evolve constantly. Transitioning to public company status puts dramatically increased demands on a company, so advance planning is essential. This session will focus on the general counsel's role in orchestrating the IPO with the assistance of outside counsel. A General Counsel who recently completed a successful IPO will be joined by our panel of seasoned IPO practitioners who partnered with that General Counsel to provide insight on such topics as long lead-time items, governance best practices, and practical tips on navigating the registration process.
