DELVACCA's Corporate & Securities Committee presents:

Changing Landscapes - Evolving SEC Rules on Risk-Related Compensation and Governance Disclosure

A pending SEC rule proposal promises to result in substantial changes for public companies for the 2010 proxy season.  The proposal addresses the disclosure surrounding a company's compensation policies, and focuses in large part on the manner in which a company's executive compensation is affected by considerations relating to risk management.  The proposed rules also address additional disclosure regarding corporate governance structure (again, with a focus on risk management) and contain several technical changes as to how equity compensation is disclosed in proxy statements.

The proposed rules remain pending, but enactment of many of the suggested measures is expected in time for the 2010 proxy season.  Our discussion will focus on how the new regulations are likely to affect not only disclosure, but also, on a substantive level, compensation and governance structure.
