Senior Vice President and General Counsel
Sean Radcliffe is a Senior Vice President, General Counsel and Corporate Secretary for Ciber.  As a member of the executive leadership team in the company's corporate headquarters, as an advisor to the board of directors, and as chief counsel for all business units, Mr. Radcliffe draws on nearly two decades of experience guiding corporations and their leaders through a wide range of legal areas, including governance and securities, intellectual property protection, client and vendor engagement, human resources, mergers and acquisitions, and compliance.   Prior to Joining Ciber, Mr. Radcliffe spent eight years as Chief Corporate Counsel and Chief Compliance Officer at IHS, a leading global provider of business information services and decision-support tools. He also has held key legal positions at WilTel Communications, a major telecommunications firm.  Prior to going in-house, he was in private practice in Tulsa, Oklahoma.  Mr. Radcliffe earned his Bachelor of Arts degree in English with a Minor in Business Administration from Oklahoma State University. He earned his Juris Doctor degree at the University of Tulsa College of Law, where he also was an articles editor for the Tulsa Law Journal.

Scott Porter is Senior Attorney for CoreSite, a provider of data center and interconnection services to customers across 14 data centers in 9 major U.S. markets, where he is lead customer commercial transactions counsel, as well as advisor and counsel over a wide range of other corporate functions, including employment, compliance, vendor contracting, and dispute resolution. Prior to joining CoreSite, Mr. Porter was Corporate Counsel for Level 3 Communications where he developed over 13 years of experience providing legal counsel and representation on various subject matters. Prior to moving in-house, Mr. Porter spent 4 years in firm practice. Mr. Porter earned his J.D. from the University of Tulsa College of Law and is a native of Colorado, earning a B.A. in Political Science from Colorado State University.

Mollybeth (Molly) R. Kocialski is Patent counsel for Oracle America, Inc.At Oracle, Ms. Kocialski is responsible for managing an active patent prosecution docket and is also response for patent investigations for Oracle and its subsidiaries.In addition to those responsibilities, Ms. Kocialski is involved in IP support for mergers and acquisitions, joint development agreements, patent licensing agreements, and providing advice on patent and other intellectual property matters to her colleagues and business clients at Oracle.Ms. Kocialski is a graduate of the State University of New York at Buffalo School of Law and received a Bachelor of Science from the University of New Mexico.Ms. Kocialski is a registered patent attorney and is admitted to the New York and Colorado state bars as well as to the United States Courts in those jurisdictions.Prior to joining Oracle, Ms. Kocialski was patent counsel to Qwest Corporation and to First Data Corporation, with responsibilities similar to her responsibilities at Oracle.Prior to joining the ranks of in-house counsel, Ms. Kocialski was in private practice both in New York and in Colorado and focused her practice on intellectual property litigation for multiple high-tech companies while maintaining an active prosecution docket.

VP - Product Compliance, Matrix Absence Management

Marti Cardi is the Vice President – Product Compliance at Matrix Absence Management which provides absence and accommodation management services to large employers.  In that role Ms. Cardi is responsible for ensuring that Matrix's services are provided in compliance with the FMLA, ADA, state leave laws, disability plans, and more.  She also serves as Matrix's in-house employment law counsel. Ms. Cardi's expertise in employment law and leave compliance started with more than 20 years in private practice with Denver law firms. She moved in-house as employment counsel for Knowledge Learning Corporation, a national childcare company, and then for Sports Authority, the sporting goods retailer. Ms. Cardi focused her career on absence management as Chief Compliance Officer and VP-Legal with Reed Group.  Ms. Cardi received her J.D. from the University of Colorado and her B.A. from Colorado State University.  She serves on the board for the Colorado chapter of Disability Management Employer Coalition as well as ACC Colorado.

Ms. Ramirez-Eaves is Senior Counsel at Ciber, Inc., a leading global IT consulting company.  In her current role, Ms. Ramirez-Eaves is responsible for all aspects of commercial contracting, as well as other matters requiring legal advice. She is a native of Colorado and began her legal career at Kutak Rock. She received both her JD and her undergraduate degree from the University of Colorado at Boulder.

Mark is a repeat presenter at ACC annual meetings on topics relating to the use of technology in in-house practice and has served as co-chair of the Colorado ACC Litigation Committee. Mark received his JD from the College of William & Mary in 1994 his BS in Accounting from the University of Arizona.

Gina Casias is an experienced in-house counsel, having practiced labor and employment law for almost 20 years.  She currently works at Gates Corporation, the leading global manufacturer of power transmission belts and fluid power products, managing their global human resources, labor and employment legal matters as well as global litigation and arbitrations.  Prior to that, she worked at CenturyLink,  the third largest telecommunications company in the United States.  Gina has extensive experience in wage and hour issues, investigations, compliance matters, and early dispute resolution.  Gina is the Co-chair for the ACC Employment Law Practice Committee and the Inclusiveness & Leadership Committee.  Gina is a Colorado native who earned both her B.S. in International Business & Marketing and her J.D. from the University of Colorado-Boulder.

Vice President, General Counsel and Secretary of MVG Development since 2007.Prior to joining MVG Development, acted as Corporate Counsel for a group of privately held companies specializing in transportation, real estate acquisition, aviation and third party logistics. While in private practice, prior to moving to in-house positions, she represented lending institutions and contractors in corporate and real estate transactions and litigation.Before engaging in a legal career was in executive and senior management in the corporate retail sector and included merchandising, new store development, strategic growth and restructuring through mergers and acquisitions of regional retailers and distribution coordination for Payless ShoeSource, as well as financial and revenue stream process management for Sprint PCS and American Express TRS.JD from Washburn University School of Law, BBA from the University of Oklahoma and MBA program with Kansas University. Chris Allyn is currently SVP and General Counsel of Quiznos. As a member of the executive leadership team in the company's corporate headquarters and as chief counsel for all business units, Chris draws on nearly two decades of experience guiding corporations and their leaders through a wide range of domestic and international legal issues, including governance and securities, intellectual property protection, data privacy, client and vendor engagement, human resources, mergers and acquisitions, business ethics and compliance.   Prior to going in-house with IBM, Chris practiced securities and corporate law with the law firm of Dorsey & Whitney in Denver, Colorado.  She is currently a member of the ACC Colorado Board of Directors and the co-chair for the ACC Programs and Sponsorship Committee.  Chris is a Colorado native and earned her B.S.B.A Summa Cum Laude from the University of Denver and her J.D. with Honors from the University of Texas School of Law. Her specialties include regulatory compliance, general corporate, employment and benefits, complex contract drafting and negotiation, channels distribution, sales and marketing, corporate governance, data privacy and security, law department and litigation management, software licensing, and dispute resolution.

Shalini Sharma joined Matrix Financial Solutions, a Broadridge company based in Denver, as Vice President & General Counsel in June 2011.  She served as Vice President and Corporate Counsel for Automatic Data Processing ("ADP") in New Jersey beginning in 2004 and as Vice President & Senior Corporate Counsel for Broadridge Financial Solutions after its spin-off from ADP in 2007.  Shalini was an associate at the law firm Curtis, Mallet-Prevost, Colt & Mosle, LLP in New York City from 1998 – 2004 where she was involved in cross-border and domestic M&A, financings, and securities transactions in addition to general corporate matters.  Shalini received a B.A. and M.A. from the University of Chicago and a J.D. from the University of Texas School of Law at Austin.  Shalini is also the recipient of a Fulbright award.

Dennis Kaw is the general counsel for Appliance Factory Outlet & Mattresses and its affiliates ("AFO").   AFO is the 32nd largest appliance retailer in the country.  Dennis manages all of AFO's legal needs. He is also responsible for developing and implementing AFO's growth strategies.   Dennis is a graduate of the University of Denver School Of Law.  He started his career as a Captain in the Air Force Judge Advocate General's Corp. at which he gained valuable leadership skills he now uses at AFO.  He also enjoys volunteering his time in the Denver community, including, coaching the Denver School of Science and Technology High School Mock Trial Team.

Tori Donovan is General Counsel of National Corporate Housing, Inc., a global multi-brand corporate housing company that provides fully furnished, temporary housing throughout the United States, Asia Pacific, Europe and the Gulf region, as well as travel and destination services.  Prior to National, Tori was Senior Vice President and General Counsel of T3Media, Inc., a Denver based company that offers cloud-based management for enterprise-scale video libraries, including storage, access, delivery, monetization and licensing.  Tori began her legal career with Cooley LLP and Holland & Hart LLP in their corporate securities, emerging growth, and mergers and acquisitions practice groups. Tori earned her law degree from the University of Denver Sturm College of Law, Order of St. Ives, and received her Bachelor of Arts degree in Economics from the University of Colorado at Boulder.  Tori is the Co-chair for the Programs and Sponsorship Committee. 


Jennifer Friednash is Corporate Real Estate Counsel for Intrawest Resorts Holdings, Inc., a North American mountain resort and adventure company. Jennifer advises on and negotiates complex real estate, finance, hospitality, resort operations and international transactions. Prior to joining Intrawest in 2012, Jennifer gained extensive experience in all facets of commercial real estate and corporate law with law firms in Florida and Colorado. Jennifer has been a member of the Association of Corporate Counsel since 2012 and she is currently chairing the Real Estate Subcommittee of the Colorado chapter's Business Transactions Committee. She also served on the Jefferson County Economic Development Corporation's Board of Directors and is the past Chair and Co-Founder of the Developing Leaders Mentor Committee for the Colorado chapter of the National Association of Office Properties. Jennifer is actively involved in community and philanthropic activities and was a Denver Business Journal Forty Under 40 award winner. 


For the past 7 years, Greg Clouser has served as labor and employment counsel at tw telecom inc. and Level 3 Communications.  In addition to managing outside litigation and providing employment advice, Greg also administered tw telecom's Ethics and Compliance Program.  Prior to that, Greg was an Associate at Holland & Hart LLP, where he practiced commercial, employment, labor and immigration law, including representation of employers against claims for breach of contract, fraud, Title VII violations, wrongful discharge, defamation, and retaliation.  Greg hails originally from Illinois and Kentucky and attended law school at the University of Virginia.

CHIEF LEGAL COUNSEL, Molson Coors International business unit, where, among other things, he leads the legal aspects of the company's international joint ventures, strategic alliances and acquisition activities. Prior to joining Molson Coors, Lee was a partner of Lathrop & Gage, where he served on the firm's Executive Committee. While in private practice, he was recognized as a leading lawyer by various publications, including the Chambers USA Guide to Leading Lawyers and Best Lawyers in America. Lee is an elected member of the American Law Institute and currently serves on the board for the Center for Legal Inclusiveness. He also has been appointed on federal, state and city levels to various positions, including three terms on the Colorado Securities Board. Lee is the Co-Managing Editor of The Practitioner's Guide to Colorado Business Organizations.


ACC Sends Condolences in Wake of Paris Tragedy

On behalf of the Association of Corporate Counsel (ACC), board of directors, staff and entire ACC community, our heartfelt sympathies go out to the victims and families of the tragic events in Paris.

Paris is the home of many of our chapter leaders, members, country representatives, sponsors and the in-house community at large. We share in the grief and sadness of those that have lost loved ones or suffered physically or emotionally.

At this time we are not aware of anyone from the ACC network of families and friends that have been injured or lost. Our hearts go out to our colleagues and friends and family of loved ones in Paris. We pray for your safety and security.
