Overview
Many commercial arrangements of all types are under stress in the current economic climate, in light of general economic developments that may have changed the underlying assumptions and economics of the transactions, or as a result of solvency or performance issues with one or both parties. While some circumstances of the type being experienced today are impossible to predict or to fully address in a contract, many of the issues that parties to various commercial agreements are facing today might have been avoided or mitigated by appropriate forward-thinking approaches in the contracting process and in the contract documents. For parties currently engaged in troubled relationships, the absence of a forward-looking, adaptable contract does not necessarily preordain failure, however. Please join Gregg Kirchhoefer and Matt Lovell of Kirkland & Ellis LLP as they provide an overview of potential issues and risks in commercial contracts in the current economic climate, some potential steps to mitigate those issues and risks in contracts and the contracting process, and some options for addressing issues as they arise.

Gregg Kirchhoefer, P.C., Partner, Kirkland & Ellis LLP, Chicago, IL– Building on work experience in the computer industry, Mr. Kirchhoefer’s practice is focused on transactional and counseling matters primarily involving computer, telecommunications, biotechnology, other technology and intellectual property, corporate and commercial issues and includes strategic alliances, outsourcing, licensing, and mergers and acquisitions. Mr. Kirchhoefer is responsible for the Firm’s intellectual property/technology transactions practice group in Chicago.
