Overview

This presentation will focus on capital markets, tax, and other regulatory changes that deal lawyers need to know as they structure transactions in 2018. Among other topics, we will discuss changes to foreign investment review regulations, tax strategies implicated by the 2017 tax overhaul, and recent developments in antitrust enforcement.

Ismail H. Alsheik, Partner, Jones Day - Ish Alsheik advises public companies, private companies, and sponsors on domestic and cross-border acquisitions, dispositions, workouts, joint ventures, strategic alliances, and financing transactions. He has counseled both buyers and sellers in dozens of competitive auctions, including those with resulting transactions that entail closing prices in excess of $1 billion. Ish advises boards, senior management, and investors on a broad range of governance and compliance matters.

Laura L. Fraedrich, Partner, Jones Day - For more than 20 years, Laura Fraedrich has been helping clients achieve their goals in complex international trade matters, including CFIUS, economic sanctions, export control, customs, and trade remedy matters. Clients in the energy, semiconductor, telecommunications, aerospace and defense, and transportation sectors have relied on Laura to handle their CFIUS filings.

James I. Kinnebrew, Associate, Jones Day - James Kinnebrew has more than 15 years of experience advising on the federal income tax aspects of complex commercial transactions, with a particular emphasis on domestic and cross-border real estate transactions, strategic joint ventures, acquisitions and dispositions, capital markets transactions, restructurings, financings, and workouts.  His practice also includes domestic and international real estate private equity fund formations and operations, the formation of public and private REITs, and debt and equity offerings by public REITs. 

Elizabeth C. Kitslaar, Partner, Jones Day - Libby Kitslaar has been the principal lawyer in a wide variety of U.S. and international M&A and corporate transactions, including complex acquisitions and divestitures, carve-outs, restructurings, public offerings, and joint ventures. In addition to transactional work, she advises boards of directors, special committees, and investors on a broad range of corporate governance and compliance matters, including federal securities requirements, fiduciary duty, takeover, and disclosure.

Pamela L. Taylor, Partner, Jones Day - Pam Taylor is an antitrust lawyer with more than 20 years of experience in antitrust and competition law issues, including the antitrust aspects of mergers, joint ventures, and government investigations. She represents clients in government antitrust investigations and enforcement actions before the Federal Trade Commission and the Department of Justice Antitrust Division. Pam has provided antitrust advice to global companies on distribution strategies for the U.S.

Ward B. Winslow, Partner, Jones Day - Ward Winslow has extensive experience acting as the lead lawyer in multibillion dollar financings and restructurings in more than 20 years of practice. He regularly advises a diverse range of companies on day-to-day disclosure obligations and corporate governance and counseling matters. He also regularly works with the Firm's restructuring team on complex corporate reorganizations, focusing on distressed and other debt transactions.
