ACC’s Corporate & Securities Law Committee Sends Comments to RiskMetrics re: Draft 2009 Governance Policies

RiskMetrics Group, Inc. (RMG), one of the leading providers of corporate governance services, prepared draft governance policies which reflect changes under consideration for 2009. The Corporate & Securities Law Committee of ACC sent comments on the proposals covering several areas of concern to members, including compensation, poor accounting and pay practices, independent chair, peer group selection for executive compensation comparison, and net operating loss poison pills. In addition, the committee urged RMG to operate with more transparency with regard to reporting miscast proxy votes and public disclosures of potential conflicts of interest between RMG and companies subject to their voting recommendations.
